Terms

Licence and terms of use

This is a convenience translation. Only the German version is legally binding.

These terms govern the use of Shoplotse's software. Purchase, payment and invoicing are handled by Link, the payment service of the Stripe group, as reseller; its terms apply to these.

§ 1 Provider and scope

The provider of the software is Spice for Life Vertrieb UG (haftungsbeschränkt), brand Shoplotse, Am Borsigturm 100, 13507 Berlin (“Provider”). These terms apply to all plugins and tools of Shoplotse (“Software”). The Software is intended for operators of online shops. Both businesses and private individuals can buy it. The seller is Link; whether and how you as a consumer can withdraw from the purchase (Widerrufsrecht) is governed by Link's terms.

§ 2 Licence

(1) With the purchase you receive a simple (non-exclusive), perpetual, non-transferable right (einfaches Nutzungsrecht) to use the Software in one JTL-Shop (one shop installation with its languages and test copies).

(2) For additional shops you need additional licences. You may not resell, rent out, give away or make the Software publicly available.

(3) The licence includes a personal licence key, which you receive with the purchase email. When it is first entered, it is activated for the address of your shop. Test addresses (e.g. localhost) work in addition. If you move your shop to a new address, send us an email and we will enable the new address. You do not pass on the download link from the purchase email or the key.

(4) You may adapt the Software for your own shop. Copyright and licence notices must not be removed.

§ 3 Updates

(1) For 12 months from purchase you receive all updates at no extra charge. After that you can optionally extend the updates for further 12-month periods; the current price is shown on the website.

(2) Without an extension you may continue to use the last version you received indefinitely.

(3) Updates are not installed automatically. You upload them yourself in the plugin manager.

§ 4 Requirements

The Software requires JTL-Shop 5 in the version stated on the website, web space with PHP and an AI assistant that supports the MCP standard (e.g. Claude). You bear the costs of shop, hosting and AI assistant yourself.

§ 5 Help

Help is available by email to info@shoplotse.net. We usually reply within two working days. Setup in your shop by us is not included in the price.

§ 6 Your responsibility

(1) You decide which changes the AI assistant proposes and which you approve. Check proposals before approving them, especially prices, legal texts and vouchers.

(2) Keep the secret access key secret and generate a new one if it may have become known.

(3) Back up your shop before updates.

§ 7 Defects (Mängel)

The Software is delivered with the functionality described on the website and in the documentation. Please report errors by email with a short description. We fix them within a reasonable time by means of an update or a workaround. For businesses, claims for defects (Mängelansprüche) become time-barred 12 months after delivery. For consumers the statutory rules apply.

§ 8 Liability

(1) We are liable without limitation for intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit), for injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz).

(2) In the case of slight negligence (leichte Fahrlässigkeit) we are liable only for breach of material contractual obligations (wesentliche Vertragspflichten), limited to the damage that is typical for this type of contract and foreseeable, and at most to the purchase price of the licence concerned.

(3) For loss of data we are liable only up to the amount that would have arisen had your shop been backed up regularly. We are not liable for content that an AI assistant proposes and that you approve.

§ 9 Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (UN-Kaufrecht). The place of jurisdiction is Berlin, insofar as you are a merchant (Kaufmann). If any provision is invalid, the remaining provisions remain valid.
